New Incorporation of a Dubai Free Zone Limited Liability Company (FZ-LLC)
A Free Zone Limited Liability Company (FZ-LLC) is an independent legal entity, with shareholders as individuals and/or entities. To obtain a free zone license in Dubai Media City, a FZ-LLC requires to have at least one director, and a minimum paid up capital of AED 50,000, with the exception of the following activities:
- All activities within Broadcasting TV Segment
- All activities within Broadcasting Radio Segment (except for IP streaming)
The two activities mentioned above necessitate a minimum capital requirement of AED 2,500,000.
There is no minimum capital requirement for Company Branch establishment within Dubai Media City, the leading Dubai Free Zone for media companies.
Branch of an Existing Foreign/UAE Company
In Dubai Media City, one of the leading UAE free zones, a branch of an existing foreign or UAE company is not considered a legal entity separate from its parent organization. Instead, a Branch Company is treated as “a place of business” that forms a legally dependent part of the parent company, engaged in conducting all/or some of the operations of the parent organization. For setting up a Branch Company no share capital is required.
A “Freelance Permit” offers an individual the opportunity to operate as a freelance professional. The “Permit” identifies an individual as a sole practitioner and enables him/her to carry out business in his/her own birth name as opposed to a brand.
Commercial licenses and freelance permits issued by DCCA are subject to leasing a facility within the Dubai Creative Clusters Authority. Moreover, the license is valid only for operating a business inside the particular Dubai Free Zone functioning under DCCA jurisdiction. Licenses and permits are issued for a period of one year and are renewable on an annual basis.
Commercial licenses and permits are issued to all businesses registered within the Dubai Media City, in compliance with approved business activities and DCCA’s licensing regulations.
